Mexican Corporation for sale??


We have a Mexican Corporation that we no longer need. If anyone is thinking of forming one, here is a cheaper alternative. We would sell it for only the cost to make the transfer, which our accountatnt estimates to be about $500 - $700 USD. It would cost a couple of thousand to form one from scratch. The wording of the document is very broad so it could be used for just about any business activity in Mexico. Any takers??

A corporation or RFC can be created by visiting a notario, the cost of creating the paperwork is standard as is the format. The rates may vary from office to office but are generally in the range of about $3000-6000 pesos for the foundation papers. The foundation then be must registered with the Municipal which is $850 pesos and then you can proceed to register the RFC with the hacienda and SRE which are free.

If you hired a lawyer and accountant you could pay them fees to help you which could raise the cost, but it's not required and might even delay the process.

If someone buys a company, then they must take the papers to the Notario and have an addendum created and registered at the municipio (850mn) and hacienda, plus name/address change. The cost is nearly the same to add an addendum as it is to start fresh. In the case of adding the addendum then the business owner or administer would have to carry the old papers and the new ones, and make copies etc... for all actions. In each case they would explain, oh these old papers are from the old owners and this is the addendum. And the person would closely review it to be sure.

So, it is really to keep it as simple as possible without complicating the process with papers from someone else.

Now, on to the matter at hand, it is possible to close a company. There is a list of the process at the hacienda or on its web site.

Simply go to the Notario and request liquidation papers, there are two papers required, estimated cost $2500-5000 pesos. Then take those to the municipal and register them along with your old registration. Cost 850 - 1700 pesos depending on the number of addendums.

Then take them to the hacienda along with annual SRE informe and carta ultimo impuestos (last taxes paid) and submit them. An accountant or legal rep can help or you can do it yourself.

So, the cost to open a business or close is well below $1000 unless you paid a lawyer, accountant or middleman an outrageous fee.
